I. Departure Situation of Independent Directors

The Board of Directors of Liaoning Chengda Biological Co., Ltd. (hereinafter referred to as “the Company”) recently received written resignation reports submitted by independent directors Mr. Chen Kejing, Mr. Liu Xiaohui, and Mr. Zhang Kejian. The aforementioned individuals have served continuously for six years since assuming office in March 2020 and have applied for resignation according to relevant regulations and term arrangements. According to the relevant provisions of the “Administrative Measures for Independent Directors of Listed Companies,” the three independent directors are applying to resign from their positions as independent directors of the fifth Board of Directors of the Company, as well as from their corresponding positions in the Board’s Audit Committee, Compensation and Assessment Committee, Nomination Committee, and Strategic Committee. This resignation will take effect from the date when the newly elected independent directors complete their election, and after the resignation takes effect, they will no longer hold any positions in the Company. As of the date of this announcement, Mr. Chen Kejing and Mr. Zhang Kejian do not hold any shares of the Company; Mr. Liu Xiaohui holds 20,000 shares of the Company.

II. Impact of Departure on the Company

Due to the resignation of independent directors Mr. Chen Kejing, Mr. Liu Xiaohui, and Mr. Zhang Kejian, the number of independent directors will fall below one-third of the total number of directors on the Board. According to the “Company Law of the People’s Republic of China,” the “Administrative Measures for Independent Directors of Listed Companies,” the “Self-Regulatory Guidelines No. 1 for Listed Companies on the Sci-Tech Innovation Board of Shanghai Stock Exchange – Standardized Operations,” and relevant provisions of the “Articles of Association of Liaoning Chengda Biological Co., Ltd.,” this resignation application will take effect from the date when the shareholders’ meeting of the Company elects new independent directors. Before the new independent directors assume office, Mr. Chen Kejing, Mr. Liu Xiaohui, and Mr. Zhang Kejian will continue to faithfully perform their duties as independent directors and members of various specialized committees in accordance with relevant laws and regulations, ensuring the Board operates in a standardized, orderly, and stable manner. The Company will strictly follow relevant laws and regulations and promptly initiate and orderly advance the nomination and election of new independent directors.
